1. AGREEMENT TO TERMS

This Privacy Policy (the “Policy”) constitutes a legally binding agreement between you (“you” or “your”) and Teachally, Inc. (“Teachally,” “we,” “us,” or “our”). This Policy governs the collection, use, and disclosure of your information in connection with your access to and use of our AI-assisted educational services, including our website, applications, and related tools (collectively, the “Services”). This Policy is incorporated by reference into the Teachally Terms of Use. By accessing, using, or registering for the Services, you hereby acknowledge that you have read, understood, and agree to be bound by all the terms and conditions of this Policy. If you do not agree with the terms and conditions of this Policy, you are expressly prohibited from using the Services and must discontinue use immediately.

3. DESCRIPTION OF SERVICES

Teachally provides a suite of proprietary, artificial intelligence-assisted tools designed to empower educators in the creation and customization of instructional materials. The Services are intended exclusively for professional use by educators. The Services are not designed for or directed to students or any individuals under the age of 13. Teachally does not knowingly or intentionally collect any personal information from or about students. We are committed to implementing robust administrative, technical, and physical safeguards to protect user privacy and maintain the security of your account.

4. DEFINITIONS

  • Teacher Personal Information refers to any information that, alone or in combination with other information, can be used to identify a specific teacher. This includes, but is not limited to, a teacher’s full name, email address, school or institutional affiliation, account credentials (such as username and encrypted password), and usage metadata, which may include IP address, browser type, operating system, and other technical information related to your use of the Services.
  • Student Personal Information refers to any data that is personally identifiable to a student, as defined under applicable laws, including FERPA. This includes, but is not limited to, student names, email addresses, student identification numbers, or any other information that would constitute an “education record” under FERPA. The input, storage, or transmission of any Student Personal Information is strictly prohibited within the Services.
  • Teacher-Generated Content means any and all instructional materials, prompts, text, documents, files, and artificial intelligence-generated outputs that you create, upload, or generate through your use of the Services. You retain all ownership rights to your Teacher-Generated Content, subject to the licenses granted to us in the Terms of Use.

5. STUDENT DATA POLICY (COPPA, FERPA, AB 1584)

5.1 No Student Personal Information

Teachally has a strict policy of not requesting, collecting, or storing any Student Personal Information. You are expressly prohibited from entering, uploading, or transmitting any Student Personal Information into any part of the Services. This prohibition is a material term of your agreement to use the Services.

To further safeguard against the accidental disclosure of Student Personal Information, Teachally employs a programmatic name-checking utility. This utility is designed to detect character strings that may represent a personal name. If such a string is detected in the content you provide, the Services will automatically prompt you to confirm that the identified text is not a student’s name before proceeding. Teachally does not store the flagged text or your confirmation response. This process is conducted in real-time and is designed to be a preventative measure without creating any record of the underlying data.

5.2 Compliance with COPPA

Teachally is not intended for and does not direct its Services to children under thirteen (13). We are in full compliance with COPPA and do not knowingly collect any personal information from children under 13. If we become aware that we have inadvertently received personal information from a user under the age of 13, we will delete the information from our records as promptly as possible. Teachally does not implement or manage parental consent mechanisms for the direct use of the Services by children, as the Services are exclusively designed for and marketed to educators.

5.3 FERPA and AB 1584 (as applicable)

Teachally is intended to be used by educators on behalf of schools and districts. Student Personal Information is not required to use the Services. If Student Personal Information is inadvertently submitted, Teachally will treat it as confidential education information, process it only to provide the Services, maintain security, and provide support, and will not use it for advertising, marketing, commercial profiling, or AI model training. For California LEAs, Teachally supports AB 1584 obligations as applicable, including deletion upon verified LEA instruction.

6. INFORMATION WE COLLECT

We may collect:

  • Account Information: name, email, school/institution affiliation, login credentials (stored in encrypted/hashed form where applicable)
  • Usage and Technical Data: IP address, browser type, device type, OS, timestamps, feature usage, logs, and related diagnostics
  • Support Communications: information you provide when contacting support

We do not require Student Personal Information to use the Services.

7. HOW WE USE INFORMATION

We use information to:

  • Provide, operate, and maintain the Services
  • Authenticate accounts and manage access
  • Provide support and troubleshoot
  • Improve product functionality and user experience
  • Maintain security, prevent fraud/misuse
  • Comply with legal obligations and enforce agreements
  • Send service-related notices (not marketing unless you opt in where required)

8. DISCLOSURE OF INFORMATION

We may disclose Teacher Personal Information:

  • To Service Providers/Subprocessors that process data on our behalf under contract and safeguards (see Section 9).
  • To comply with law, legal process, or enforce rights.
  • In connection with corporate events (merger, acquisition, reorganization, bankruptcy, or sale of all or a portion of our assets), subject to confidentiality and lawful processing.

Change of Control

Over time, Teachally may grow and reorganize. We may share your information, including personal information, with affiliates such as a parent company, subsidiaries, joint venture partners, or other companies that we control or that are under common control with us. In such cases, we will require those companies to agree to use your personal information in a way that is consistent with this Privacy Policy.

If Teachally (or all or a portion of its assets) is acquired by, merged with, or transferred to a third party, your personal information may be among the assets transferred. This Privacy Policy will continue to apply to your information, and any successor entity may only handle your personal information in accordance with this Privacy Policy unless and until you are presented with a new policy and, where required by law, you consent to it.

We will provide notice of a completed acquisition or similar transaction within thirty (30) days after the completion of the transaction by (i) posting a notice on our website and (ii) emailing the email address associated with your account.

If you do not consent to processing by a successor entity under a new policy (if one is proposed), and subject to applicable law, you may request deletion of your personal information as described in Section 12.

In the unlikely event that Teachally goes out of business or files for bankruptcy, we will continue to protect your personal information consistent with this Privacy Policy and applicable law, and we will not sell your personal information as a standalone asset to any third party.

9. SERVICE PROVIDERS, SUBPROCESSORS, AND AI PROCESSORS (CURRENT LIST + URLS)

Teachally engages third-party vendors and contractors to help operate, support, and secure the Services (“Service Providers”). Teachally requires these providers to process data only on Teachally’s instructions and to implement appropriate safeguards.

9.1 AI Service Providers

Teachally may use third-party large language model providers (“AI Service Providers”) to generate outputs. Teachally uses contractual and technical controls designed to:

  • Send only the information reasonably necessary
  • Restrict use of Teacher-Generated Content for model training (except explicit opt-in or required by law)
  • Protect Teacher Personal Information
  • Strip Student PI where detected prior to transmission

Teachally may update this list from time to time. Material changes will be handled consistent with this Policy and applicable law or district agreements.

10. SECURITY

We implement robust administrative, technical, and physical safeguards designed to protect Teacher Personal Information and Teacher-Generated Content, including access controls and encryption where appropriate.

11. DATA RETENTION

We retain Teacher Personal Information and related data only as long as necessary to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, and maintain security.

12. YOUR PRIVACY RIGHTS (INCLUDING CALIFORNIA)

Depending on your jurisdiction, you may have rights to access, correct, or delete your personal information and to exercise other rights under applicable privacy laws (including CPRA for California residents). To exercise rights, contact support@teachally.com. Verification may be required. We respond within legally required timeframes (generally within 45 days, extendable once where permitted).

13. CHILDREN’S PRIVACY

Teachally is not directed to children under 13 and does not knowingly collect personal information from children. If we learn we have collected such information, we will delete it promptly.

14. CHANGES TO THIS POLICY

We may update this Privacy Policy from time to time. We will update the “Effective Date” at the top of this Policy when changes become effective.

If we make changes that materially reduce your privacy rights or materially change how we collect, use, or disclose Teacher Personal Information, we will provide at least thirty (30) days’ advance notice before the changes take effect. Notice may be provided by email to the email address associated with your account, by an in-product notice, and/or by posting a prominent notice on our website.

If you do not agree to the updated Policy, you must stop using the Services before the updated Policy becomes effective. Where required by law, we will obtain your consent for materially different uses of your personal information.
